1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Boltix WhatsApp Business API platform ("Service") operated by Landa Ventures LLC d/b/a Boltix ("Boltix," "we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms.

2. Description of Service

Boltix provides a platform that enables businesses to send and receive messages through the WhatsApp Business API. Our Service includes message template management, conversation inbox, automated flows, and analytics features.

3. Eligibility

To use our Service, you must:

• Be at least 18 years old
• Be a registered business entity
• Have the authority to bind your business to these Terms
• Comply with WhatsApp's Business Messaging Policy and Commerce Policy
• Not be prohibited from using our Service under applicable laws

4. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

5. Acceptable Use

You agree not to use our Service to:

• Send spam, unsolicited messages, or messages to users who have not opted in
• Violate WhatsApp's Business Messaging Policy, Commerce Policy, or Terms of Service
• Send content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Impersonate any person or entity or misrepresent your affiliation
• Transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use the Service for any illegal purpose or in violation of applicable laws
• Resell or redistribute our Service without authorization

6. WhatsApp Policies

Your use of our Service is also subject to WhatsApp's Business Messaging Policy and Meta's Platform Terms. You are responsible for ensuring your use complies with these policies. Violation of WhatsApp's policies may result in suspension or termination of your WhatsApp Business Account and/or our Service.

7. Fees and Payment

Fees for our Service are described on our website or in a separate agreement. You agree to pay all applicable fees. We may change our fees upon reasonable notice. Fees are non-refundable except as required by law.

WhatsApp conversation charges are billed separately by Meta and are subject to Meta's pricing. These charges are passed through to you and are in addition to Boltix platform fees.

8. Intellectual Property

Our Service and its original content, features, and functionality are owned by Boltix and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of content you submit through our Service.

9. Disclaimer of Warranties

OUR SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE ARE NOT RESPONSIBLE FOR WHATSAPP'S AVAILABILITY OR ACTIONS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOLTIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Boltix and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

We may suspend or terminate your access to our Service at any time for any reason, including violation of these Terms or WhatsApp's policies. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will immediately cease.

13. Governing Law

These Terms shall be governed by the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Wyoming.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting on our website or sending you an email. Your continued use of the Service after changes constitute acceptance of the modified Terms.
